What Is a Turnkey Business… And Is It Worth Buying?

What Is a Turnkey Business… And Is It Worth Buying?

Browse enough business-for-sale listings and you’ll soon notice the word “turnkey” showing up everywhere. A café, a pool service company, a franchise resale; each with the promise that a new owner can step in and start earning on day one. Sometimes that’s accurate. The word itself carries no guarantee, however, so buyers need to know what it means and how to test it.

What Is a Turnkey Business?

In business, turnkey means an operation is ready to run the moment ownership changes hands. A turnkey business is sold with everything it needs to keep going: staff, equipment, systems, suppliers, an existing customer base, or more. In short, the new owner inherits a working operation.

Franchise resales, service companies with trained crews, and fully staffed restaurants are common examples.

An important thing to note: “turnkey” has no legal or industry-standard definition. It’s a description the seller chooses, and two listings using the same word can describe two very different businesses.

Is Buying a Turnkey Business a Safer Bet?

A turnkey business often starts from a stronger position than a brand new business. There’s existing cash flow, an operating history lenders can underwrite, and employees who already know the work. There’s no startup ramp.

“Ready to run” describes how the business performs under the current owner, with that owner’s relationships and know-how holding things together. A buyer needs to find out how it will perform once that owner hands over the keys.

What to Evaluate When Buying a Turnkey Business

Each of these can uncover red flags that you may need to address during the buying process:

  • Documented processes. Written SOPs (standard operating procedures) for daily operations, ordering, scheduling, and pricing. If it’s a system that exists only in the owner’s memory, it could be a red flag.
  • Employee commitment. Whether key staff, especially managers and lead technicians, plan to stay through the transition.
  • Equipment condition. Age of major equipment and whether maintenance records support it.
  • Lease terms. Remaining term, renewal options, and whether the landlord will approve a transfer.
  • What’s included. Inventory, phone numbers, website, social accounts, and vendor accounts, spelled out in the purchase agreement.
  • Transition support. How long the seller will stay involved and what that training covers.

How to Buy a Turnkey Business: Questions to Ask the Broker

A broker can get the answers that a listing won’t show. Useful questions include:

  1. How long has the business operated without the owner on site?
  2. What training will the seller provide, and for how long?
  3. Which employees have committed to staying after the sale?
  4. Are operating procedures written down, and can a buyer review them during due diligence?
  5. Why is the owner selling now?

Vague answers to any of these warrant a closer look before a buyer makes an offer.

Turnkey Is Where Due Diligence Starts

A turnkey label only tells buyers what the seller believes about the business. But verifying it takes financial review, operational questions, and someone who knows which answers hold up.
